Terms & Conditions

The rules of the road for using VoiceChill — written in plain language so you can actually read them.

1. Acceptance of these Terms

These Terms & Conditions ("Terms") form a binding agreement between you and VoiceChill, Inc. ("VoiceChill", "we", "us") and govern your access to and use of the VoiceChill mobile applications, websites, and related services (together, the "Service"). By creating an account, downloading the app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you don't agree, please don't use the Service.

2. Eligibility & account

You must be at least 13 years old to use VoiceChill, and at least 16 in the European Economic Area and United Kingdom (or the minimum age required in your jurisdiction). If you are under the age of majority where you live, you confirm a parent or legal guardian has reviewed and accepted these Terms on your behalf.

Account responsibility

  • You're responsible for the accuracy of the information you provide and for keeping your login credentials secure.
  • You may not share your account, sell access to it, or impersonate another person.
  • Notify us promptly at support@voicechill.app if you suspect unauthorized use of your account.

3. The VoiceChill service

The Service lets you discover, host, and participate in live and recorded audio rooms; exchange messages and reactions; follow other users; and access related features we may add over time. We continuously improve the Service and may modify, add, or remove features. We will provide reasonable notice of material changes that adversely affect you.

4. User content & license

"User Content" means anything you create, upload, transmit, or share via the Service — including your voice during a room, text messages, profile information, room titles, recordings you choose to publish, and any media.

Ownership

You retain ownership of your User Content. Nothing in these Terms transfers ownership of your content to us.

License you grant us

To operate the Service, you grant VoiceChill a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, display, adapt (e.g., for technical formatting), and distribute your User Content solely to provide, secure, and improve the Service. This license ends when you delete the relevant content, except where retention is required by law or for legitimate operational purposes (e.g., safety records, backups).

Your responsibility for content

You're responsible for your User Content and the consequences of sharing it. You represent that you have all rights necessary to grant the license above and that your User Content does not violate any law or third-party right.

5. Acceptable use

You agree not to use the Service to:

  • Harass, threaten, dox, stalk, or incite violence against any person or group.
  • Share content that is hateful, sexually exploitative of minors, or that promotes self-harm, terrorism, or unlawful activity.
  • Distribute spam, scams, phishing links, malware, or unauthorized advertising.
  • Infringe anyone's intellectual property, privacy, publicity, or contractual rights.
  • Reverse-engineer, decompile, scrape, or interfere with the Service or attempt to bypass any technical limitation.
  • Record or transmit a room without the host's permission, or republish content in violation of speakers' expectations or applicable law.
  • Use automated means to access the Service or to create accounts in bulk.
  • Impersonate another person or misrepresent your affiliation with any person or organization.

6. Moderation & enforcement

We use a mix of automated systems and trained human reviewers to enforce our acceptable-use rules. We may, at our discretion and without prior notice:

  • Remove or restrict access to content that violates these Terms.
  • Limit features, suspend, or terminate accounts.
  • Cooperate with law enforcement in response to valid legal process.

If you believe enforcement against your account was a mistake, you can appeal by writing to appeals@voicechill.app.

7. Subscriptions & billing

Some features are offered as paid subscriptions ("VoiceChill+"). When you subscribe:

  • You authorize the relevant app store (Apple App Store or Google Play) or our payment processor to charge the fee disclosed at checkout.
  • Subscriptions auto-renew at the end of each billing period unless canceled at least 24 hours before renewal.
  • You can cancel anytime through your app-store account; cancellation takes effect at the end of the current billing period.
  • Refunds are governed by the policy of the app store or processor through which you purchased the subscription, plus any non-waivable rights you have under local law.

8. Intellectual property

The Service, including its software, design, audio engine, brand, and documentation, is owned by VoiceChill or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to use the Service for personal, non-commercial purposes. All rights not expressly granted are reserved.

9. Third-party services

The Service may link to or integrate with third-party products (e.g., sign-in providers, app stores, analytics). Your use of those products is governed by their own terms and privacy policies. We aren't responsible for third-party services and don't endorse their content.

10. Termination

You can stop using the Service and delete your account at any time from in-app settings or by writing to support@voicechill.app. We may suspend or terminate your access if you breach these Terms, create risk for VoiceChill or its users, or where required by law. Sections that by their nature should survive termination (including content license for residual backups, disclaimers, liability limits, and dispute resolution) will continue to apply.

11. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, VoiceChill disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We don't warrant that the Service will meet your requirements, be error-free, or that defects will be corrected.

12. Limitation of liability

To the maximum extent permitted by law, VoiceChill and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or other intangible losses, arising from or in connection with your use of the Service. Our aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid VoiceChill in the 12 months before the event giving rise to the claim and (b) US $100.

13. Indemnification

You agree to defend, indemnify, and hold VoiceChill harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

14. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The parties agree to resolve disputes informally first by contacting legal@voicechill.app. If unresolved within 60 days, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Rules, except that either party may bring a small-claims action in their local court or seek injunctive relief in court for intellectual-property infringement. You and VoiceChill waive any right to a jury trial and to participate in class actions, where permitted by law.

If you reside in the European Economic Area, United Kingdom, or another jurisdiction whose mandatory consumer laws override the foregoing, those laws apply to the extent required and you may bring claims in the courts of your residence.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you in-app, by email, or by another reasonable means at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
